About the Role

 

The Specialist Group Governance is a member of the Group Governance team based in Melbourne, supporting the Group Company Secretary, Head of Governance Regulatory and Principal Group Governance.

 

This role has responsibility for managing BHP Group Limited’s compliance with key legal and regulatory requirements, including disclosure and reporting requirements, the Annual General Meeting, Annual Reporting and Annual Results. The role will also support on transactions and governance projects. 

Accountabilities

 

Disclosure and regulatory requirements

  • Provide support with respect to BHP’s ongoing requirements associated with its current listing on the ASX. 
  • Provide support on periodic disclosure and reporting processes including full year and half year results and Annual Report.
  • Provide support on continuous disclosure and securities dealing obligations including monitoring legal and regulatory requirements related to disclosure. 

Annual General Meeting

  • Provide support on preparation of BHP’s Notice of Meeting and other meeting related documents.
  • Provide support in relation to the management of the Annual General Meeting, including legal and regulatory requirements, briefing notes and Q&A materials.

Transactions and Projects 

  • Provide legal and governance support for key transactions and major projects, including M&A transactions, investments and new country entry. 

Research / Board Committees

  • Assist with research, briefing notes and Board Committee papers required on various topics such as updates to regulatory requirements, market practice and emerging governance related issues.
    Support the Group Governance team on improvement projects and initiatives.  

Group Entities

  • Assist with corporate regulatory requirements and subsidiary management for the BHP Group.
    Provide governance advice and support to subsidiary company secretaries and directors.

About You

 

  • Prior experience working as a Corporate Lawyer with technical knowledge of listed corporates, Corporations Act and governance of listed Groups.  
  • Experience of Australian legal and regulatory requirements including disclosure and securities compliance.  
  • Experience working with Australian listed clients and global corporate structures.  
  • Communication: Strong verbal and written communication at all levels.
  • Organisational skills: Strong organisational skills and ability to prioritise competing tasks.
  • Stakeholder Management: Demonstrated ability to win the trust and confidence of senior stakeholders and operate as a trusted adviser.
  • Adaptable: Adaptable to change; works well with ambiguity; ability to prioritise multiple critical tasks, and flexibility to alter priorities.  
  • High Performance: High achieving, motivated, positive outlook, enthusiastic and performance driven including demonstrates the ability to give attention to detail under time pressure.
